By accessing or using the ClockHog platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

ClockHog is a resource planning and capacity management platform designed for agencies. The Service provides tools for:

  • Resource allocation and scheduling
  • Capacity planning and forecasting
  • Time tracking and timesheet management
  • Project and client management
  • Financial reporting and analytics

3. User Accounts

To access certain features of the Service, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring your account information is accurate and up-to-date

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit malicious code or interfere with the Service
  • Attempt to gain unauthorized access to systems or data
  • Use the Service for any illegal or unauthorized purpose
  • Resell or redistribute the Service without authorization

5. Data and Privacy

6. Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your subscription plan

  • Automatic renewal of your subscription unless cancelled
  • Fees are non-refundable except as required by law

6.1 Seat Changes and Billing

When modifying your subscription:

  • Upgrades (adding seats): You will be charged immediately for the prorated amount for the remainder of the current billing period.
  • Downgrades (reducing seats): No refunds or credits will be issued. The reduced seat count and lower price will take effect at the start of your next billing period.

6.2 Refund Policy

All payments are non-refundable. This includes but is not limited to:

  • Monthly or annual subscription fees
  • Prorated charges for seat upgrades
  • Unused time on cancelled subscriptions
  • Seat reductions during a billing period

If you cancel your subscription, you will retain access to the Service until the end of your current billing period, but no refund will be provided for the remaining time.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by ClockHog and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by law, ClockHog shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee the correctness, accuracy, or completeness of any calculations displayed in the Service, including but not limited to time tracking, capacity planning, revenue, budgets, utilization, or forecasting. You are responsible for verifying any figures before relying on them for business or legal purposes.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable laws of the member state where ClockHog is established, without regard to its conflict of law provisions.
